AllpricesinclusiveofGST-E.O.E.iiallamountsowingtotheSellershallwhetherornotdueforpaymentimmediatelybecomepayableinadditiontotheinterestpayableunderclause12.1hereof.13.1ItistheintentionofthesellerandagreedbytheCustomerthatpropertyintheGoodsshallnotpassuntilaTheCustomerhaspaidallamountsowingfortheparticularGoodsandbTheCustomerhasmetallotherobligationsduebytheCustomertotheSellerinrespectofallcontractsbetweentheSellerandtheCustomerandthatwherepracticabletheGoodsshallbekeptseparateuntiltheSellershallhavereceivedpaymentandallotherobligationsoftheCustomeraremet.13.2ReceiptbytheSellerofanyformofpaymentotherthancashshallnotbedeemedtobepaymentuntilthatformofpaymenthasbeenhonouredclearedorshallcontinue.13.3ItisfurtheragreedthataUntilsuchtimeasownershipoftheGoodsshallpassfromtheSellertotheCustomertheSellermaygivenoticeinwritingtotheCustomertoreturntheGoodsoranyofthemtotheSeller.UponsuchnoticetherightsoftheCustomertoobtainownershiporanyotherinterestintheGoodsshallcease.bTheSellershallhavetherightofstoppingtheGoodsintransitwhetherornotcIftheCustomerfailstoreturntheGoodstotheSellerthentheSellerortheusedbytheCustomeroranypremisesastheinviteeoftheCustomerwheretheGoodsaresituatedandtakepossessionoftheGoods.dTheCustomerisonlyabaileeoftheGoodsanduntilsuchtimeastheSellerhasreceivedpaymentinfullfortheGoodsthentheCustomershallholdanyproceedsfromthesaleordisposaloftheGoodsontrustfortheSeller.eTheCustomershallnotdealwiththemoneyoftheSellerinanywaywhichmaybeadversetotheSeller.fTheCustomershallnotchargetheGoodsinanywaynorgrantnorotherwisegiveanyinterestintheGoodswhiletheyremainthepropertyoftheSeller.gTheSellermayrequirepaymentofthePriceorthebalanceofthePriceduetogetherwithanyotheramountsduefromtheCustomertotheSellerarisingoutofthesetermsandconditionsandtheSellermaytakeanylawfulstepstorequirepaymentoftheamountsdueandthePrice.hTheSellercanissueproceedingstorecoverthePriceoftheGoodssoldnotwithstandingthatownershipoftheGoodsmaynothavepassedtotheCustomer.iUntilsuchtimethatownershipintheGoodspassestotheCustomeriftheGoodsaresoconvertedthepartiesagreethattheSellerwillbetheowneroftheendproducts.14.1DespiteanythingtothecontrarycontainedhereinoranyotherrightswhichtheSellermayhavehowsoeveraWheretheCustomerandortheGuarantorifanyistheowneroflandrealtyoranyotherassetcapableofbeingchargedboththeCustomerandortheGuarantoragreetomortgageandorchargealloftheirjointandorseveralnomineetosecureallamountsandothermonetaryobligationspayableunderthetermsandconditions.TheCustomerandortheGuarantoracknowledgewhereappropriateacaveatwhichcaveatshallbereleasedonceallpaymentsandothermonetaryobligationspayablehereunderhavebeenmet.bShouldtheSellerelecttoproceedinanymannerinaccordancewiththisclauseandoritssub-clausestheCustomerandorGuarantorshallindemnifythecostsonasolicitorandownclientbasis.cTogiveeffecttotheprovisionsofclause14.1aandbinclusivehereoftheCustomerandortheGuarantorifanydoherebyirrevocablynominatechargeswhetherregisterableornotincludingsuchothertermsandconditionsabsolutediscretionagainstthejointandorseveralinterestoftheCustomerandortheGuarantorinanylandrealtyorassetinfavouroftheSellerandinandfurthertodoandperformallnecessaryandotheractsincludinginstitutinganynecessarylegalproceedingsandfurthertoexecutealloranydocumentsgiveeffecttotheprovisionsofthisclause.IntheeventthattheCustomercancelsdeliveryofGoodstheCustomershallbeliableforacancellationfeeofthegreaterofanycostsincurredbytheSelleruptothetimeofcancellationortwentyve25percentofthePrice.16.1TheCustomerandortheGuarantorsagreefortheSellertoobtainfromacredit-reportingagencyacreditreportcontainingpersonalcreditinformationabouttheCustomerandGuarantorsinrelationtocreditprovidedbytheSeller.16.2TheCustomerandortheGuarantorsagreethattheSellermayexchangeinformationaboutCustomerandGuarantorswiththosecreditprovidersnamedintheApplicationforCreditaccountornamedinaconsumercreditreportissuedbyareportingagencyforthefollowingpurposescToexchangeinformationwithothercreditprovidersastothestatusofthisdToassessthecreditworthinessofCustomerandorGuarantors.16.3TheCustomerconsentstotheSellerbeinggivenaconsumercreditreporttocollectoverduepaymentoncommercialcreditSection18K1hPrivacyAct1988.16.4TheCustomeragreesthatPersonalDataprovidedmaybeusedandretainedbytheSellerforthefollowingpurposesandforotherpurposesasshallbeagreedbetweentheCustomerandSellerorrequiredbylawfromtimetotimebmarketingofServicesandorGoodsbytheSelleritsagentsordistributorsindprocessingofanypaymentinstructionsdirectdebitfacilitiesandorcreditGoods.16.5TheSellermaygiveinformationabouttheCustomertoacreditreportingagencyforthefollowingpurposesballowthecreditreportingagencytocreateormaintainacreditinformationlecontaininginformationabouttheCustomer.17.1WheretheCustomersuppliesmaterialsforlaminatingoranyotherpurposetheSelleracceptsnoresponsibilityorliabilityforthespoilageofsuchmaterialsduringthelaminatingprocessordamageinproduction.Adequatequantitiesshallbesuppliedtocoverspoilageordamage.17.2WherematerialsorequipmentaresuppliedbytheCustomertheSelleracceptsnoresponsibilityforimperfectworkcausedbydefectsinorunsuitabilityofsuchmaterialsorequipment.18.1Ifanyprovisionofthesetermsandconditionsshallbeinvalidvoidillegalorunenforceablethevalidityexistencelegalityandenforceabilityoftheremainingprovisionsshallnotbeaffectedprejudicedorimpaired.18.2AllGoodssuppliedbytheSelleraresubjecttothelawsofWesternAustraliaandtheSellertakesnoresponsibilityforchangesinthelawwhichaffecttheGoodssupplied.18.3TheSellershallbeundernoliabilitywhatevertotheCustomerforanyindirectlossandorexpenseincludinglossofprofitsufferedbytheCustomerarisingoutofabreachbytheSellerofthesetermsandconditions.18.4IntheeventofanybreachofthiscontractbytheSellertheremediesoftheCustomershallbelimitedtodamages.UndernocircumstancesshalltheliabilityoftheSellerexceedthePriceoftheGoods.18.5TheCustomershallnotsetoffagainstthePriceamountsduefromtheSeller.18.6TheSellermaylicenseorsub-contractalloranypartofitsrightsandobligations18.7TheSellerreservestherighttoreviewthesetermsandconditionsatanytimeandfromtimetotime.IffollowinganysuchreviewthereistobeanychangeinsuchtermsandconditionsthatchangewilltakeeffectfromthedateonwhichthesellernotiestheCustomerofsuchchange.18.8NeitherpartyshallbeliableforanydefaultduetoanyactofGodwarterrorismstrikelockoutindustrialactionreooddroughtstormorothereventbeyondthereasonablecontrolofeitherparty.ualitremediesandrecognisedanduntilthentheSellersownershipofrightsinrespectoftheGoodsdeliveryhasbeenmadeandSellersagentmayenteruponandintolandandpremisesownedoccupiedorinterestinthesaidlandrealtyoranyotherassettotheSellerortheSellersandagreethattheSellerortheSellersnomineeshallbeentitledtolodgesellerfromandagainstalltheSellerscostsanddisbursementsincludinglegalconstituteandappointtheSellerortheSellersnomineeastheCustomersandorGuarantorstrueandlawfulattorneytoexecutemortgagesandastheSellerandortheSellersnomineeshallthinktinhisheritstheirtheCustomersandorGuarantorsnameasmaybenecessarytosecurethesaidCustomersandorGuarantorsobligationsandindebtednesstotheSellerintheSellersabsolutediscretionwhichmaybenecessaryoradvantageoustoaToassessanapplicationbyCustomerbTonotifyothercreditprovidersofadefaultbytheCustomercreditaccountwheretheCustomerisindefaultwithothercreditprovidersandaprovisionofServicesGoodsrelationtotheServicesandGoodscanalysingverifyingandorcheckingtheCustomerscreditpaymentandorstatusinrelationtoprovisionofServicesGoodsfacilitiesrequestedbyCustomerandeenablingthedailyoperationofCustomersaccountandorthecollectionofamountsoutstandingintheCustomersaccountinrelationtotheServicesandatoobtainaconsumercreditreportabouttheCustomerandorwithouttheCustomersconsent.13.Title14.SecurityAndCharge15.Cancellation16.PrivacyAct198817.MaterialSuppliedbyCustomer18.General97Ph1800731900salesaclassdisplays.com.auwww.aclassdisplays.com.au
